Terms of Service

1. Who we are and what these terms cover

These Terms of Service ("Terms") govern access to and use of the Roastnet platform, the Roastnet Factory desktop application, hosted storefronts, cafe portals and related services (together, the "Service"), operated by Roastnet Ltd ("Roastnet", "we", "us"). By creating an account or using the Service you agree to these Terms on behalf of yourself and, where applicable, the business you represent (the "Customer").

2. Accounts and workspaces

Each Customer operates the Service through a dedicated workspace. You are responsible for the accuracy of the information you provide, for safeguarding login credentials, and for all activity that occurs under your workspace. You must notify us promptly of any unauthorised use. You may invite team members; you are responsible for their compliance with these Terms.

3. Plans, trials and billing

Paid plans are billed in advance on a monthly or yearly basis at the prices shown at the time of purchase, plus any usage-based charges (for example additional team seats or usage beyond a plan's included quantities) described in the pricing configuration of your plan. Free trials convert to paid subscriptions at the end of the trial period unless cancelled first.

Payments are processed by Stripe. Fees are non-refundable except where required by law. We may change plan pricing with at least 30 days' notice; changes apply from your next billing cycle.

4. Storefronts and payments to you

If you enable a hosted storefront, payments from your customers are collected into your own Stripe account via Stripe Connect. You are the merchant of record for your storefront sales and are responsible for your products, pricing, taxes, deliveries, refunds and consumer-law obligations. Roastnet charges a platform fee on storefront transactions as described in your plan or fee schedule; the fee is deducted automatically per transaction.

5. Your data

You retain all rights to the data you and your team submit to the Service ("Customer Data"). You grant us the rights necessary to host, process, transmit, display and back up Customer Data solely to provide and improve the Service. We process personal data within Customer Data as your processor, as described in the Privacy Policy.

6. Acceptable use

You must not use the Service to violate any law, infringe intellectual-property or privacy rights, distribute malware, send spam, attempt to gain unauthorised access to systems or data, resell the Service without our written agreement, or interfere with the integrity or performance of the Service.

7. AI features

Optional AI features are off by default and metered through AI credits. AI outputs are generated automatically and may be inaccurate; you are responsible for reviewing outputs before relying on them. Where you bring your own model API keys, your relationship with the model provider is direct and subject to their terms.

8. Intellectual property

The Service, including software, design and branding, is owned by Roastnet Ltd and its licensors and is protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service for your business during your subscription. Feedback you provide may be used by us without obligation.

9. Third-party services

The Service integrates with third parties (for example Stripe for payments and cloud infrastructure providers for hosting). Your use of those services may be subject to their own terms. We are not responsible for third-party services we do not control.

10. Availability and support

We aim to keep the Service available at all times but do not guarantee uninterrupted availability. Planned maintenance and factors outside our control may affect access. Support is provided via the channels published on our site.

11. Warranties and liability

The Service is provided "as is" and "as available". To the maximum extent permitted by law we disclaim all implied warranties, and our aggregate liability arising out of or relating to the Service is limited to the amounts you paid to Roastnet in the 12 months preceding the claim. Nothing in these Terms excludes liability that cannot be excluded by law, including for death or personal injury caused by negligence, or for fraud.

12. Suspension and termination

You may cancel at any time from your billing settings; cancellation takes effect at the end of the current billing period. We may suspend or terminate access for material breach of these Terms, non-payment, or where required by law. Following termination we will make Customer Data available for export for 30 days, after which it may be deleted.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified through the Service or by email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

14. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except where mandatory local law provides otherwise.
